Purchase of Own Shares
Essentially, there are two possible tax treatments of the repurchase by an unquoted trading company of its own shares.
The treatment to be adopted depends on whether certain conditions are satisfied.
Our corporate tax team can advise the company on whether these conditions are satisfied in order to determine and ensure that the correct treatment of the repurchase of shares is applied.
Company Reorganisations
We can advise companies on the rules for the transfer of trades between companies under common ownership and the tax relief's available. We then offer support to companies throughout such a transfer.
We can also advise companies on the conditions that need to be satisfied and the tax relief's available on the two forms of de-merger.
These are:
A company transferring shares in its subsidiaries to its members as a distribution;
A company transferring a trade or shares in a subsidiary to one or more new subsidiaries which then issues shares to the members of the distributing company.
